Terms of Service
1. The agreement
These Terms of Service ("Terms") are a contract between you and Ian Ferguson, a sole proprietor operating One-Pochi ("One-Pochi", "we", "us"). By creating a workspace, joining one, or otherwise using One-Pochi (the "Service"), you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a company, you confirm you have authority to bind that company, and "you" means the company.
2. The Service
One-Pochi is a bilingual (English/Japanese) customer relationship management tool built on Google Apps Script. It stores your CRM records in a Google Sheet in your own Google account and offers optional AI features powered by the Google Gemini API. Using the Service requires a Google account and your authorization of the Google permissions shown on Google's consent screen.
3. Your data and your workspace
- You own your data. The CRM records in your workspace spreadsheet are yours. We claim no rights over them, and we don't store copies on servers of our own.
- The workspace owner controls access. The person who creates a workspace owns its spreadsheet and decides who joins as an admin or member — including sharing the underlying Google Sheet. Removing someone from the team does not by itself revoke their Google Sheet access; owners should also update the Sheet's sharing settings.
- Back it up if it matters. Because the data lives in your Google account, Google's own export and backup tools (like Google Takeout, or File → Make a copy) work at any time.
4. Acceptable use
You agree not to:
- use the Service to violate any law, including anti-spam and privacy laws that apply to the contact data you store;
- attempt to breach, probe, or overload the Service or use it to attack anything else;
- resell, sublicense, or provide the Service to third parties as your own product;
- reverse engineer the Service except where the law grants you that right;
- share license access beyond your workspace's team, or misrepresent team size to circumvent plan limits.
You are responsible for the contact data you and your team put into your workspace, including having a lawful basis to hold and use it.
5. Plans, billing, and refunds
- Subscriptions. Paid plans (Solo and Team) are billed through Stripe and renew automatically each period until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period, and you keep access until then. Your data remains in your Google Sheet after cancellation — you simply lose access to the app.
- Lifetime licenses. A lifetime license is a one-time purchase granting ongoing access to the core One-Pochi product for as long as we operate it, for the workspace size stated at purchase. AI features on lifetime plans require your own Gemini API key . Lifetime licenses are limited in quantity and non-transferable.
- Price changes. We may change subscription prices with at least 30 days' notice; changes apply from your next billing period. Price changes never affect an already-purchased lifetime license.
- Refunds. If One-Pochi isn't for you, email us within 14 days of your first purchase for a full refund. After that, payments are non-refundable except where required by law.
- Taxes. Prices exclude any applicable taxes, which are your responsibility unless we are required to collect them.
6. Third-party services
The Service is built on and depends on services we don't control: Google Apps Script, Google Sheets, the Google Gemini API, and Stripe. Their availability, terms, and pricing may change, and outages or changes on their side can affect One-Pochi. Your use of Google services through One-Pochi is also subject to Google's own terms.
7. Intellectual property and feedback
We own the Service — its code, design, and branding (including the One-Pochi name and Shiba mark). These Terms give you a limited, non-exclusive, non-transferable right to use the Service while your plan is active. If you send us feedback or suggestions, you grant us the right to use them without obligation to you.
8. Beta and pilot features
Features labeled beta, pilot, or preview are provided for evaluation, may change or be withdrawn at any time, and are excluded from any commitments in these Terms.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON-INFRINGEMENT. AI-GENERATED OUTPUT (SUCH AS SCANNED CONTACT DETAILS) MAY CONTAIN ERRORS AND SHOULD BE REVIEWED BEFORE YOU RELY ON IT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR USD $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.
11. Indemnity
You will defend and hold us harmless from claims arising out of the data you store in your workspace, your violation of these Terms, or your violation of law or third-party rights.
12. Suspension and termination
You can stop using the Service at any time; you can also revoke its Google permissions at myaccount.google.com/permissions. We may suspend or terminate access for material breach of these Terms, for non-payment, or if required for security or legal reasons — with notice where practical. Sections 3, 7, and 9–14 survive termination. Your data remains yours in your Google account regardless.
13. Governing law and disputes
These Terms are governed by the laws of the State of Kansas, USA , without regard to conflict-of-law rules. Disputes will be resolved in the courts of Kansas, USA , and both parties consent to that venue. Before filing anything, please email us — most issues can be resolved in a conversation.
14. Changes to these Terms
We may update these Terms as the product evolves. For material changes, we will update the effective date above and notify workspace owners by email or in-app notice at least 14 days before the changes take effect. Continued use after that date means you accept the updated Terms.
